1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you and Datum Fuse LLC ("we," "us," or "our"). These Terms govern your access to and use of our website, APIs, and services, marketed as DatumFuse.AI (collectively, the "Service"). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. The Service

2.1. Description

The Service consists of a suite of AI-powered tools provided by Datum Fuse LLC under the brand name DatumFuse.AI, including but not limited to data auditing, extraction, cleaning, harmonization, and anonymization ("AI Tools").

2.2. Free Tier and Credits

We offer a free, limited-use tier ("Free Tier") and prepaid credits that you may purchase as one-time credit packs to unlock higher usage. The Service is pay-as-you-go: credits are consumed as you use the AI Tools, and there are no recurring or subscription fees. The features, usage limits, credit costs, and pack prices are detailed on our pricing page. We reserve the right to modify the features and limits of any tier at any time.

2.3. Modifications to the Service

We are constantly improving the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. User Accounts

3.1. Registration

To access most features, you must register for an account using a valid email address or a third-party authentication provider (e.g., Auth0). You agree to provide accurate, current, and complete information during the registration process.

3.2. Account Security

You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use. Datum Fuse LLC is not liable for any loss or damage arising from your failure to comply with this security obligation.

4. User Content & AI Output

4.1. Your User Content

You retain all ownership rights, including intellectual property rights, in the files, data, text, and prompts you submit to the Service ("User Content"). User Content also includes data and information from third-party services (e.g., Google Sheets) that you explicitly authorize us to access on your behalf.

4.2. License Grant to Datum Fuse

To enable us to operate the Service, you grant Datum Fuse LLC a limited, non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, process, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Service for you. This license terminates when you delete your User Content or your account, subject to our data retention policies.

4.3. AI-Generated Output

The Service may generate new content based on your User Content, such as charts, summaries, or analyses ("Output"). Due to the nature of machine learning, Output may not be unique across users and the Service may generate the same or similar Output for other users.

4.4. Ownership and Use of Output

Subject to your compliance with these Terms, Datum Fuse LLC grants you full rights to use the Output for any lawful purpose, including personal or commercial use. You are solely responsible for the Output you generate and its subsequent use.

4.5. Responsibility for Content

You represent and warrant that you have all necessary rights, licenses, and permissions to your User Content and that its use by us as contemplated in these Terms will not infringe upon the rights of any third party. When you connect a Third-Party Service, you represent that you are an owner or authorized user of that account and have the authority to grant us access to the data within it. Datum Fuse does not review or endorse any User Content.

5. Acceptable Use Policy

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You specifically agree not to:

• (a) Upload or generate any content that is illegal, defamatory, harassing, abusive, fraudulent, obscene, or that promotes violence or hate speech.
• (b) Use the Service to infringe upon any third party's intellectual property rights, including copyrights, patents, or trademarks.
• (c) Engage in any activity that could harm, disable, overburden, or impair our servers, networks, or the Service itself.
• (d) Use any automated means, such as scrapers or bots, to access the Service, other than through our officially supported APIs.
• (e) Attempt to reverse-engineer, decompile, or otherwise discover the source code or underlying components of our Service, including the AI models.
• (f) Represent that Output from the Service was human-generated when it is not.

6. Payments, Credits, and Refunds

6.1. Credits and Fees

The Service operates on a prepaid, pay-as-you-go credit model. You may purchase credit packs as one-time purchases at the prices described on our pricing page, and credits are consumed as you use the AI Tools. All fees are in U.S. Dollars. Except as required by law, all purchases are final and credits are non-refundable.

6.2. Billing

We use a third-party payment processor (Stripe) to process your one-time credit purchases. The processing of payments is subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.

6.3. No Automatic Renewal

Credit packs are one-time purchases. They do not automatically renew, and we do not charge you on a recurring or subscription basis. You are charged only when you choose to purchase additional credits. Purchased credits do not expire.

6.4. Price Changes

We reserve the right to change the price of our credit packs at any time. Any price change applies only to future purchases and does not affect credits you have already bought.

You agree to defend, indemnify, and hold harmless Datum Fuse LLC and its affiliates, officers, directors, and employees from and against any and all claims, damages, or losses arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; or (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

9. Third-Party Services

The Service may allow you to connect your account to third-party services, websites, or applications, such as Google Sheets ("Third-Party Services"). When you enable such an integration, you are permitting us to access your information from that service as authorized by you and the third party. We do not control and are not responsible for the data, content, security, or practices of any Third-Party Service. Your use of any Third-Party Service is subject to its own terms and privacy policies, and you are solely responsible for complying with them. Datum Fuse LLC disclaims all liability arising from your use of Third-Party Services.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Illinois, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Cook County, Illinois to resolve any dispute or claim arising from these Terms.

12. International Users

Our Service is hosted in the United States. If you are accessing the Service from other regions with laws governing data collection and use that may differ from U.S. law, please note that you are transferring your personal data to the U.S. For details on your data rights under regulations like GDPR, please refer to our Privacy Policy.

13. General Provisions

13.1. Entire Agreement

These Terms constitute the entire agreement between you and Datum Fuse LLC concerning the Service.

13.2. Severability

If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions.

13.3. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting on our website or sending an email to the address associated with your account. What constitutes a material change will be determined at our sole discretion.
